PRESS RELEASE As part of the agreements signed in the context of the capital increase of Fondiaria-SAI S.p.A. (Fondiaria), UniCredit S.p.A. is currently holding a 6.6% stake in Fondiaria’s share capital represented by ordinary shares and has agreed with the banks of the consortium to certain restrictions with respect to the sale or other disposal of that stake (so called “lock-up"). This undertaking - aimed to facilitate an orderly disposal in the market of any of Fondiaria’s ordinary shares which remain unsubscribed at the end of the auction period - will be effective for a period of 120 days commencing on September 13, 2012, the settlement date for Fondiaria ordinary shares subscribed by UniCredit Group, pursuant to its underwriting commitment.
