| Zarząd Answear.com SA („Answear.com”) w nawiązaniu do raportu bieżącego nr 5/2023 z dnia 9 lutego 2023 r. informuje, że w dniu 22 lutego 2023 r. został zawarty aneks do Umowy pożyczki z dnia 29 listopada 2022 r. zawartej pomiędzy Answear.com SA jako pożyczkodawcą oraz Fashion Trends Group sp. z o.o. („Fashion Trends Group”) jako pożyczkobiorcą („Umowa pożyczki”). W ramach powołanego aneksu z dnia 22 lutego br. do Umowy pożyczki („Aneks”) strony ustaliły podwyższenie kwoty pożyczki do maksymalnie 10.000.000 (dziesięć milionów) PLN, z tym że w ramach drugiej transzy, zostanie wypłacona kwota 3.000.000 (trzy miliony) PLN, bezpośrednio na rzecz dostawcy Fashion Trends Group celem uregulowania zobowiązań Fashion Trends Group wobec tego dostawcy. Natomiast trzecia transza w wysokości do 2.000.000 (dwa miliony) PLN, zgodnie z Aneksem do Umowy pożyczki zostanie wypłacona jedynie w przypadku zrealizowania się warunków wskazanych w Aneksie do Umowy pożyczki, z zastrzeżeniem że ostateczna decyzja w przedmiocie wypłaty trzeciej transzy należy do Answear.com. Oprocentowanie nie uległo zmianie w stosunku do ustalonego Umową pożyczki. Spłata drugiej transzy Pożyczki powinna nastąpić w terminie do dnia 31 sierpnia 2023 r., chyba że nastąpi przypadek naruszenia wskazany w Umowie pożyczki. Po dokonaniu wypłaty drugiej transzy pożyczki łączna kwota pożyczek wypłaconych na rzecz Fashion Trends Group wyniesie 8.000.000 (osiem milionów) PLN. |

| MESSAGE (ENGLISH VERSION) | |||
| The Management Board of Answear.com SA ("Answear.com"), with reference to current report No. 5/2023 dated 9 February 2023, announces that on 22 February 2023, an annex to the Loan Agreement dated 29 November 2022 was concluded between Answear.com SA as lender and Fashion Trends Group sp. z o.o. ("Fashion Trends Group") as borrower (the "Loan Agreement"). Under the above mentionned annex to the Loan Agreement (the "Annex"), the parties agreed to increase the loan amount to a maximum of PLN 10,000,000 (ten million), except that under the second tranche, the amount of PLN 3,000,000 (three million) will be paid directly to Fashion Trends Group's supplier in order to settle Fashion Trends Group's liabilities towards that supplier. On the other hand, the third tranche of up to PLN 2,000,000 (two million), according to the Annex to the Loan Agreement, will be disbursed only if the conditions stipulated in the Annex to the Loan Agreement are fulfilled, with the provison that the final decision on the disbursement of the third tranche rests with Answear.com. The interest rate remains unchanged when compared to conditions agreed in the Loan Agreement. The second tranche of the Loan should be repaid by 31 August 2023, unless there is an event of default as indicated in the Loan Agreement. Following the disbursement of the second tranche of the Loan, the total amount of loans disbursed to Fashion Trends Group will amount to PLN 8,000,000 (eight million). |
