| W nawiązaniu do raportu bieżącego nr 32/2024 z 5 czerwca 2024 r. Zarząd spółki mBank S.A. informuje, że w dniu 11 października 2024 roku Komisja Nadzoru Finansowego wyraziła jednogłośnie zgodę na powołanie Pana Cezarego Kocika na stanowisko Prezesa Zarządu mBanku S.A. Oznacza to spełnienie ostatniego warunku z uchwały Rady Nadzorczej mBanku S.A. z dnia 5 czerwca 2024 i objęcie funkcji Prezesa Zarządu przez Pana Cezarego Kocika. Cezary Kocik posiada 30-letnie doświadczenie w bankowości, w tym ponad 12-letnie na stanowisku wiceprezesa zarządu ds. bankowości detalicznej mBanku. W latach 2007-2024 zarządzał kompleksową ofertą produktów i usług dla klientów indywidualnych, przedsiębiorców i małych firm na 3 rynkach: polskim, czeskim i słowackim. Dodatkowo nadzorował segment klientów private banking i wealth management, biuro maklerskie oraz TFI. Cezary Kocik posiada również praktyczne doświadczenie w obszarze ryzyka kredytowego, restrukturyzacji i windykacji, audytu wewnętrznego i bankowości inwestycyjnej. W latach 2000-2004 kierował jednym z największych oddziałów Banku Pekao S.A. Jest absolwentem Uniwersytetu Łódzkiego na kierunku Finanse i Bankowość. W 2015 r. ukończył Advanced Management Program AMP w Harvard Business School, a w 2018 r. kurs Strategic Management in Banking w INSEAD. Posiada licencję maklera papierów wartościowych. |

| Expression of consent by the Polish Financial Supervision Authority to the appointment of Mr. Cezary Kocik as the President of the Management Board of mBank S.A. With reference to current report no. 32/2024 of June 5, 2024 the Management Board of mBank S.A. informs that on 11 October 2024, the Polish Financial Supervision Authority unanimously consented to the appointment of Mr. Cezary Kocik as the President of the Management Board of mBank S.A. This means the fulfillment of the last condition set out in the resolution of the Supervisory Board of mBank S.A. of June 5, 2024 and the assumption of the position of President of the Management Board by Mr. Cezary Kocik. Cezary Kocik has 30-year professional experience in the banking sector, including over 12 years of service on the Management Board of mBank as Vice-President, Head of Retail Banking. In 2007-2024 he was responsible for a comprehensive offer of products and services for individual clients, entrepreneurs and small businesses on three markets: Polish, Czech and Slovak. Additionally, he supervised the segment of private banking and wealth management clients, the brokerage office and the investment fund management company of mBank (mTFI). Cezary Kocik also has hands-on experience in credit risk management, restructuring and debt collection, internal audit and investment banking. In 2000-2004 he managed one of the largest branches of Bank Pekao S.A. Cezary Kocik graduated from the University of Łódź with a degree in Finance and Banking. He completed the Advanced Management Program AMP at Harvard Business School in 2015 and the Strategic Management in Banking course at INSEAD in 2018. He has a securities broker license. |
