Zarząd Spółki mBank S.A. podaje do wiadomości, że XXXVII Zwyczajne Walne Zgromadzenie mBanku S.A. dokonało dnia 27 marca 2024 r. wyboru 8-osobowej Rady Nadzorczej mBanku S.A. na wspólną kadencję trzech lat, w następującym składzie:

Profesor Agnieszka Słomka-Gołębiowska
Niezależny członek rad nadzorczych i doradca spółek w zakresie ładu korporacyjnego oraz agendy zrównoważonego rozwoju. Posiada blisko 20-letnie, bogate doświadczenie w zarządach dużych spółek publicznych i prywatnych, a także organizacji międzynarodowych takich jak m.in. UN WFP, UNAIDS. Obecnie pełni funkcję Przewodniczącej Rady Nadzorczej mBanku S.A. i Przewodniczącej Komisji ds. Wynagrodzeń i Nominacji. Dodatkowo jest Członkiem Komisji ds. Ryzyka i Komisji ds. Audytu. Jest członkiem Europejskiej Platformy ds. Zrównoważonego Finansowania (EU Platform on Sustainable Finance), która doradza Komisji Europejskiej we wprowadzaniu agendy na rzecz zrównoważonego rozwoju, a także Rady Programowej Sustainable Investment Forum Poland (POLSIF).
Agnieszka Słomka-Gołębiowska jest profesorem w warszawskiej Szkole Głównej Handlowej skupiając swoje zainteresowania badawcze wokół ładu korporacyjnego i zrównoważonego rozwoju. Posiada stopień doktora nauk ekonomicznych oraz z wyróżnieniem zdobyła tytuł magistra na kierunku Finanse i Bankowość w SGH. Ukończyła również studia magisterskie na kierunku Biznes międzynarodowy w Copenhagen Business School. Jest laureatką prestiżowych nagród, w tym Stypendium Alexandra von Humboldta na Uniwersytecie w Muenster oraz polsko-amerykańskiego stypendium Fulbrighta na Uniwersytecie Kalifornijskim w Berkeley, gdzie współpracowała

Jest mentorką w Hertie School of Governance w Berlinie oraz ambasadorką Programu Vital Voices na rzecz przedsiębiorczości kobiet i wzmacniania ich roli.

Dr Bettina Orlopp
Bettina Orlopp ukończyła Uniwersytet w Ratyzbonie z dyplomem MBA (finanse i produkcja). Na tym samym Uniwersytecie uzyskała stopień doktora.
Swoją karierę zawodową rozpoczęła jako Management Consultant w McKinsey w 1995 roku (od 2002 roku jako partner). W 2014 roku rozpoczęła karierę w Commerzbank AG, jako dyrektor zarządzający ds. rozwoju i strategii grupy.
Od marca 2020 powołana na Członkinię Zarządu ds. Finansów, a od lipca 2021 pełni funkcję Zastępcy Prezesa Zarządu Commerzbank AG. Kieruje Departamentem Finansów, Podatków, Relacji inwestorskich i Skarbu. Przed objęciem funkcji CFO, Bettina Orlopp była odpowiedzialna w Zarządzie za sprawy prawne, Compliance i HR.

Po rocznej przerwie na studia magisterskie w London School of Economics, rozpoczęła prace dla Banku ING we Włoszech, gdzie brała udział w przygotowaniach wejścia na rynek ING Bank Direct. Dr Hans-Georg Beyer
Dr Hans-Georg Beyer studiował na Uniwersytecie Witten/Herdecke na kierunku Business Economics & General Management oraz w SKEMA Business School (finanse międzynarodowe). W 2020 roku uzyskał stopień doktora na Uniwersytecie w St. Gallen (HSG) na podstawie rozprawy doktorskiej dotyczącej zarządzania ryzykiem na szczeblu zarządów europejskich banków.
Dr Beyer posiada wieloletnie doświadczenie w Grupie Commerzbanku m.in. na stanowiskach związanych z zarządzaniem obszarem compliance oraz obszarem audytu wewnętrznego. Pełni funkcję Dyrektora Zarządzającego jako Group Chief Compliance Officer w Commerzbanku AG oraz Członka Zarządu ds. Thomas Schaufler
Pan Thomas Schaufler ukończył w 2002 r. wyższe studia magisterskie na kierunku zarządzanie i przedsiębiorczość na Uniwersytecie Nauk Stosowanych (FHW-Fachhochschule) w Wiedniu. Posiada liczne kursy zawodowe i certyfikaty, w tym certyfikat analityka finansowego (Certificated European Financial Analyst CEFA).
Thomas Schaufler posiada ponad dwudziestoletnie doświadczenie zawodowe w sektorze bankowym, w tym czternastoletnie doświadczenie na stanowiskach kierowniczych w sektorze bankowym. Mirosław Godlewski
Mirosław Godlewski posiada dyplom mgr inż. Wydziału Zarządzania Przemysłem Politechniki Warszawskiej. Jest również absolwentem MBA Ashridge Management College i AMP Harvard Business School. Obecnie jest Senior Advisorem w BCG, pełni funkcję Członka Zarządu w spółce Eubioco Sp. z o.o., jest Członkiem Rady Nadzorczej spółki ONDE S.A., a także Partnerem w Hedgehog Fund.
Mirosław Godlewski był Członkiem Rady Nadzorczej w Netia S.A., Celon Pharma S.A., Absolvent.pl, ABC Data S.A., a także członkiem Komitetu ds. Nominacji i Wynagrodzeń. Tomasz Bieske jest magistrem ekonomii, absolwentem Uniwersytetu w Kolonii, Niemcy. Po studiach przez sześć lat pracował w centrali Dresdner Bank AG we Frankfurcie w obszarze kredytowania międzynarodowych klientów korporacyjnych i handlu długami państw na rynku wtórnym. Od 1988 roku Tomasz Bieske pracował w biurze Arthur Andersen we Frankfurcie, jako Manager odpowiedzialny za usługi consultingowe dla instytucji finansowych. Dwa lata później wraca do Warszawy i jest współzałożycielem firmy Artur Andersen w Polsce, partnerem, dyrektorem Grupy Rynków Finansowych. Odpowiadał za współpracę z klientami z sektora finansowego, m.in. za badanie sprawozdań finansowych wiodących banków w Polsce, transakcje sprzedaży bankowych portfeli kredytów nieregularnych oraz wycenę akcji prywatnych banków. Uczestniczył w procesach due diligence na zlecenie inwestorów zagranicznych i projektach consultingowych w sektorze rynków finansowych.
Po połączeniu firm Artur Andersen i Ernst & Young w roku 2002 kontynuował pracę jako partner, dyrektor Grupy Rynków Finansowych. Kierował większością najistotniejszych projektów w sektorze usług finansowych, m.in. w przygotowaniu oferty publicznej PKO BP S.A. i Kredyt Bank S.A., badaniu sprawozdań finansowych: Narodowego Banku Polskiego, PKO BP S.A., Pekao S.A., Getin Holding i szeregu innych banków oraz ZUS. Kierował projektami doradczymi w sektorze bankowym (min. opracowanie koncepcji prywatyzacji GPW, przygotowanie planu zmian operacyjnych w Ministerstwie Finansów oraz połączenie czterech banków państwowych w Pekao SA przed jego prywatyzacją).
W 2011 roku brał udział w pracach zespołu do spraw zmian regulacji prawnych i biznesowych sektora bankowości spółdzielczej.
Ściśle współpracuje ze Związkiem Banków Polskich i Krajowym Związkiem Banków Spółdzielczych. Posiada licencję polskiego biegłego rewidenta. W 2011 roku otrzymał złoty medal Związku Banków Polskich za udział w rozwoju bankowości w Polsce w latach 1991–2011. Od czerwca 2013 roku członek Rad Nadzorczych spółek notowanych na GPW (min. W roku 2019 ukończył 3-miesięczny Oxford Fintech Programme, a w 2020 3-miesięczny Venture Capital Programme na Uniwersytecie Oxfordzkim. Od 2019 roku należy do Stowarzyszenia Niezależnych Członków Rad Nadzorczych. W 2023/2024 jest coachem zespołu studentów na podyplomowych studiach „Profesjonalna Rada Nadzorcza” w Akademii Leona Koźmińskiego w Warszawie.

Według posiadanych przez mBank S.A. informacji ww. osoby nie wykonują działalności konkurencyjnej względem mBanku S.A.

Ww. osoby nie figurują w Rejestrze Dłużników Niewypłacalnych, prowadzonym na podstawie ustawy o KRS.

Zgodnie ze stosowanymi przez Bank kryteriami członkami niezależnymi Rady Nadzorczej Banku są:
