| Zarząd Arctic Paper S.A. („Spółka”, „Emitent”) informuje, iż w dniu 13 listopada 2024 roku powziął informację o zawarciu przez spółkę zależną Arctic Power Sp. z o.o. (”Arctic Power”) ze spółką Coral W. Perkowski, J. Perkowski sp.k. („Coral”) umowy nabycia aktywów („Umowa”) w postaci istniejącej instalacji fotowoltaicznej Garwolin o mocy do 4 MW („Instalacja Garwolin”), zlokalizowanej w Garwolinie w województwie mazowieckim. Przeniesienie praw do Instalacji Garwolin nastąpi w momencie zawarcia umowy o świadczenie usług dystrybucji z właściwym dla Instalacji Garwolin operatorem systemu dystrybucyjnego. Cena całkowita transakcji nabycia Instalacji Garwolin nie przekracza 10% kapitałów własnych Emitenta i została ustalona na warunkach rynkowych. Zawarcie powyższej Umowy stanowi kolejny krok w celu realizacji Strategii 4P w segmencie energii Spółki, zwiększając przychody tego segmentu oraz wspiera działania Grupy Arctic Paper na rzecz osiągniecia neutralności emisyjnej. Energia wytwarzana w Instalacji Garwolin będzie sprzedawana odbiorcom spoza Grupy Arctic Paper, a wysokość rocznej produkcji energii szacowana jest na 4 000 MWh rocznie. Podstawa prawna przekazania raportu: Art. 17 ust. 1 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE. |

| Current report number 23/2024 Dated: November 13th November 2024 Subject: Conclusion of significant agreement by the Issuer's subsidiary General legal basis: Art. 17 sec. 1 of MAR – inside information Content: Management Board of Arctic Paper S.A. ("Company", "Issuer") informs that on November 13th, 2024 it received information about the conclusion by its subsidiary Arctic Power Sp. z o. o. (“Arctic Power”) with Coral W. Perkowski, J. Perkowski sp.k. ("Coral") purchase agreement ("the Agreement") of the existing Garwolin photovoltaic installation with a capacity of up to 4 MW ("Garwolin Installation"), located in Garwolin in the Masovian Voivodeship. The transfer of rights to the Garwolin Installation will take place at the moment of concluding an agreement for the provision of distribution services with the distribution system operator appropriate for the Garwolin Installation. The total price of the purchase transaction of the Garwolin Installation does not exceed 10% of the Issuer's equity and was determined on market terms. The conclusion of the Agreement is another step to implement the 4P Strategy in the Company's energy segment, increasing the segment's revenues and supporting Arctic Paper Group's activities to achieve emission neutrality. The energy generated in the Garwolin Installation will be sold to customers outside the Arctic Paper Group, and the annual energy production is estimated at 4,000 MWh per year. Specific legal basis: Art. 17 sec. 1 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC. |
