| Raport Nr 24/2022- Nabycie od Skarbu Państwa akcji spółki PKN ORLEN S.A. Podstawa prawna: Art. 17 ust. 1 MAR – informacja poufna Treść raportu: W nawiązaniu do raportu nr 23/2022, Zarząd PKO Banku Polskiego S.A. („Bank”), niniejszym informuje, że 29 września 2022 r. zawarł ze Skarbem Państwa umowę nabycia akcji spółki PKN ORLEN S.A. („PKN ORLEN”). Na mocy tej umowy Bank nabywa 14.161.080 szt. akcji na okaziciela PKN ORLEN od Skarbu Państwa – Ministra Aktywów Państwowych za cenę równą iloczynowi liczby akcji i ceny jednej akcji zgodnie z kursem zamknięcia notowań akcji PKN ORLEN na rynku podstawowym Giełdy Papierów Wartościowych w Warszawie S.A. w dniu zawarcia umowy pomniejszoną o dyskonto ustalone na zasadach rynkowych. Rozliczenie transakcji pakietowej nastąpi nie później niż w pierwszym dniu roboczym po zawarciu Umowy. Jednocześnie Bank zawrze transakcję typu swap zabezpieczającą ryzyko ekonomiczne transakcji nabycia akcji. Informację o zawarciu transakcji typu swap Bank przekaże odrębnym raportem bieżącym. |

| Report No. 24/2022 – Acquisition of the shares of PKN ORLEN S.A. from the State Treasury Legal basis: Article 17.1 of MAR – inside information The report: With reference to the report No. 23/2022, the Management Board of PKO Bank Polski S.A. ("Bank") hereby informs that on 29th September 2022 Bank concluded with the State Treasury agreement for the purchase of shares in PKN ORLEN S.A. ("PKN ORLEN"). Agreement provides that the Bank acquires 14,161,080 PKN ORLEN bearer shares from the State Treasury – Minister of State Assets for a price equal to the result of the multiplication of the number of shares and the price of one share in accordance with the closing price of PKN ORLEN shares on the main market of the Warsaw Stock Exchange on the date of conclusion of the agreement decreased by the discount determined on market terms. The block transaction shall be cleared no later than on the first business day following the conclusion of the agreement. In the same time, the Bank shall conclude a swap transaction hedging the economic risk of the share purchase transaction. The Bank shall inform on concluding the swap transaction in a separate report. |
