Sadovaya Group S.A., a joint stock company under Luxembourg law, with registered office at 65, boulevard Grande-Duchesse Charlotte L–1331 Luxembourg, registered in the Luxembourg Register of Companies under No. B 153.489, (the “Company"), hereby provides the following: Sadovaya Group would like to inform you about its inability to publish Annual report 2013 till May 28, 2014. The reason is force major happen in the result of current unstable situation in Ukraine. As our main subsidiaries are situated in Donetsk and Lugansk region, the Auditors do not have physical ability to visit our production objects. It is dangerous for life safe. Presence of large amount of roadblocks implies difficulties for transportation. The auditors cannot finish it from physical standpoint. They will be able to continue the procedure of annual report completing from August 01, 2014. Legal grounds: Article 146 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market.
