| Zarząd ENEA S.A. („Spółka”, „Emitent”) informuje, że 6 maja 2024 roku podjął uchwałę dotyczącą propozycji pokrycia straty netto Emitenta oraz rekomendacji niewypłacania dywidendy za rok obrotowy 2023. Zgodnie z uchwałą, Zarząd Spółki proponuje pokrycie straty netto Emitenta za rok obrotowy, obejmujący okres od 1 stycznia 2023 roku do 31 grudnia 2023 roku w kwocie 1 602 940 tys. zł, z przyszłych zysków. Zasadą polityki dywidendowej ENEA S.A. pozostaje realizowanie w przyszłości wypłat dywidendy stosownie do wielkości wypracowanego zysku i możliwości finansowych Emitenta. Spółka informuje, że wraz z podjęciem ww. uchwały Zarząd Emitenta postanowił wystąpić do Rady Nadzorczej ENEA S.A. celem wydania przez nią oceny przyjętej przez Zarząd Spółki propozycji i rekomendacji. Jednocześnie Emitent wyjaśnia, iż ostateczną decyzję w sprawie pokrycia straty netto za rok obrotowy, obejmujący okres od 1 stycznia 2023 roku do 31 grudnia 2023 roku podejmie Zwyczajne Walne Zgromadzenie ENEA S.A. |

Subject: Information on the proposed coverage of the net loss generated in 2023 Legal Basis: Article 17(1) of the Market Abuse Regulation – inside information Body of the report: The Management Board of ENEA S.A. (“Company”, “Issuer”) hereby reports that on 6 May 2024 it adopted a resolution on the proposed to coverage of the Issuer’s net loss and the recommendation to refrain from distributing a dividend for the financial year 2023. According to the resolution, the Company’s Management Board proposes to cover the Issuer’s net loss for the financial year covering the period from 1 January 2023 to 31 December 2023 in the amount of PLN 1,602,940 thousand from future profits. The guiding principle of ENEA S.A.’s dividend policy remains that any future dividend payments will be made depending on the amount of the profit generated by the Issuer and the Issuer’s financial standing. The Company also reports that along with the adoption of the said resolution, the Issuer’s Management Board decided to submit a motion to the ENEA S.A. Supervisory Board to present its assessment of the proposal and recommendation adopted by the Company’s Management Board. At the same time, please be advised that the final decision regarding the coverage of the net loss for the financial year covering the period from 1 January 2023 to 31 December 2023 will be made by the Ordinary General Meeting of ENEA S.A. |
